1. Introduction and Acceptance

These Terms of Use ("Terms") govern your access to and use of the Clipsy mobile application ("App") and the website at goclipsy.com ("Website"), collectively referred to as the "Service," provided by Numeral Digital, LLC ("we," "us," or "Clipsy").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms are separate from and supplement the Apple Licensed Application End User License Agreement (EULA), which governs the licensing of the App through the Apple App Store. Our Privacy Policy describes how we collect and use your data and is incorporated into these Terms by reference.

2. The Service

Clipsy is a voice-powered content creation tool. You speak into your device, and Clipsy uses artificial intelligence to transform your voice recordings into social media posts. The Service includes:

  • Voice recording and transcription
  • AI-powered content generation for multiple social media platforms and styles
  • Content editing and management
  • Profile-based content personalization
  • Idea generation and topic suggestions

The Service relies on third-party AI providers to process your voice and text input (see Section 7).

3. Eligibility and Account

3.1 Age Requirement

You must be at least 17 years old to use Clipsy. By using the Service, you represent that you meet this age requirement.

3.2 Account Registration

You may create an account using Sign in with Apple. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3.3 Account Accuracy

You agree to provide accurate information when creating your account and to keep your information up to date.

4. Subscriptions and Billing

4.1 Subscription Plans

Clipsy offers a free tier with limited usage and paid subscription plans ("Clipsy Pro") with additional features and higher usage limits. Subscription plans and pricing are displayed within the App.

4.2 Auto-Renewable Subscriptions

Clipsy Pro subscriptions are auto-renewable and processed through Apple's App Store. By subscribing, you agree to the following:

  • Payment is charged to your Apple ID account upon confirmation of purchase
  • Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period
  • You can manage and cancel your subscriptions in your Apple ID Account Settings

4.3 Free Trials

If a free trial is offered, it will convert to a paid, auto-renewing subscription at the end of the trial period unless you cancel at least 24 hours before the trial ends.

4.4 Refunds

All purchases are processed by Apple. Refund requests must be submitted to Apple directly through their support channels.

4.5 Price Changes

We may change subscription prices from time to time. Price changes will take effect at the start of the next subscription period following the date of the price change. Continued use of the Service after a price change constitutes acceptance of the new price.

5. AI-Generated Content

5.1 Nature of AI Content

Clipsy uses artificial intelligence ("AI") to produce textual content ("Generated Content") based on your voice input and text. You acknowledge and agree that:

  • Generated Content is produced by AI and is provided "as is"
  • Generated Content may be inaccurate, incomplete, misleading, or offensive
  • Generated Content may resemble content created by others; we do not guarantee the originality or uniqueness of any Generated Content
  • AI models may produce different results from the same input at different times

5.2 Your Responsibility

You are solely responsible for reviewing, editing, and verifying all Generated Content before publishing it on any social media platform or using it for any other purpose. You assume full responsibility for any consequences of publishing Generated Content, including but not limited to claims of defamation, copyright infringement, or violation of third-party rights or platform terms of service.

5.3 Intellectual Property of Generated Content

Clipsy does not claim intellectual property ownership over Generated Content created from your input. You may use Generated Content for your personal and commercial purposes, subject to these Terms and applicable law. Note that the legal status of AI-generated content under copyright law may vary by jurisdiction.

5.4 Your Content License to Clipsy

By using the Service, you grant Numeral Digital, LLC a worldwide, non-exclusive, royalty-free license to process your voice recordings, text input, and related data solely for the purpose of:

  • Providing the Service (transcription, content generation, content storage)
  • Maintaining and improving the Service
  • Ensuring security and preventing misuse

We do not use your content to train our own AI models unless you explicitly opt in to such use.

6. Acceptable Use

You agree not to use Clipsy to:

  • Generate content that is illegal, defamatory, harassing, threatening, or discriminatory
  • Generate content that infringes upon the intellectual property rights of others
  • Generate spam, misleading information, or content designed to deceive
  • Generate content that violates the terms of service of any social media platform
  • Attempt to bypass content safety filters or moderation mechanisms
  • Use the Service for any purpose that violates applicable law
  • Interfere with or disrupt the Service or its infrastructure
  • Access the Service through automated means (bots, scrapers) without authorization

We reserve the right to suspend or terminate your account if we determine that you have violated these terms.

7. Third-Party AI Services

7.1 AI Providers

Clipsy relies on third-party AI services to process your voice and text input and generate content. Currently, we use:

  • Google (Gemini) — AI model for transcription and content generation
  • OpenAI — AI model for content generation
  • Anthropic (Claude) — AI model for content generation
  • OpenRouter — API routing infrastructure

7.2 Availability

The Service depends on the availability of these third-party AI providers. We do not guarantee uninterrupted access to AI features. AI providers may experience downtime, rate limits, or service changes that affect the Service.

7.3 Provider Changes

We may change, add, or remove AI providers at any time to improve the Service. If a material change in AI provider requires updated consent under applicable law, we will notify you and request your consent before processing your data through the new provider.

7.4 Third-Party Terms

Your use of the Service may be subject to the terms and policies of our AI providers. We encourage you to review their terms of service and privacy policies.

8. Intellectual Property

8.1 Clipsy IP

The Service, including its design, features, code, brand, and documentation, is owned by Numeral Digital, LLC and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8.2 Trademarks

"Clipsy" and associated logos are trademarks of Numeral Digital, LLC. You may not use our trademarks without prior written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE
  • THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUMERAL DIGITAL, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR REPUTATION, ARISING FROM:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE
  • ANY CONTENT GENERATED BY THE AI
  • ANY ACTIONS TAKEN BASED ON AI-GENERATED CONTENT
  • UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA
  • ANY THIRD-PARTY CONDUCT OR CONTENT

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Account Deletion

You may delete your account at any time through the App (Settings > Account > Delete Account). Upon requesting deletion:

  • Your account and personal data will be permanently deleted within 30 days
  • Generated content and transcripts associated with your account will be removed
  • Certain data may be retained as required by law (e.g., tax records for subscription purchases)

Important: Deleting your Clipsy account does not automatically cancel your App Store subscription. To avoid future charges, cancel your subscription in your Apple ID Account Settings before or after deleting your account.

12. Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, if we reasonably believe that:

  • You have violated these Terms
  • You have engaged in fraudulent or abusive behavior
  • Continued access poses a risk to other users or the Service

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 5 (AI-Generated Content), 9 (Disclaimers), 10 (Limitation of Liability), 13 (Governing Law), and 15 (Severability).

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

European Union and United Kingdom residents: Nothing in this section limits your rights under mandatory consumer protection laws in your country of residence. If you are a consumer in the EU or UK, you retain the right to bring claims in the courts of your country of residence, and mandatory local consumer protection laws will apply regardless of the governing law chosen above.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. For significant changes, we may also notify you via email or in-app notification.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy and the Apple Licensed Application End User License Agreement, constitute the entire agreement between you and Numeral Digital, LLC regarding your use of the Service. These Terms supersede all prior agreements, communications, and understandings regarding the Service.
